BoyarMiller Closes Complex Corporate Sale of Kingsley Constructors, Inc.

HOUSTON (April 12, 2019) – BoyarMiller represented The Woodlands-based Kingsley Constructors, Inc. in its sale to MasTec, Inc. (NYSE: MTZ).

Kingsley is the leading constructor of produced water pipelines in the Permian Basin. The company also constructs crude and natural gas gathering lines, compressor stations, and other oilfield installations.

BoyarMiller assisted the owners of Kingsley through letters of intent, non-disclosure agreements, pre-closing transaction structure issues, and in its negotiation of a final stock purchase agreement and ancillary documents. Additionally, the firm worked on a complex spin-off of the company’s non-construction businesses to several affiliate entities.
