Texas businesses were involved in 227 mergers and acquisitions the third quarter of 2018 according to Mergermarket data provided to The Texas Lawbook. It marks a five-year trend because Texas has consistently had at least 200 deals in a quarter since 2013.
Houston’s share of M&A activity is strong as evidenced by the 2018 Deal of the Year Awards event hosted by the Association for Corporate Growth (ACG) on February 5th. Shareholder Steve Kesten chaired the event and two complex client transactions completed by the BoyarMiller Business Group were named finalists in the award competition. It is an honor to be included on a list of 40 innovative and impressive deals. Here is a summary of those two complex transactions.
BoyarMiller Shareholder Gary Miller served as lead counsel to Genco Energy Services, Inc. in connection with the restructure of all its outstanding indebtedness. Genco provides a complete line of rental equipment to the midstream sector of the oilfield industry in Texas and Northern Mexico. The transaction also required the sale of a subsidiary for cash needed to pay off the existing senior debt and the settlement of certain claims by its former investment banker. Other BoyarMiller team members included Shareholders Steve Kesten and Lawrence Wilson, and Associate Corinne Sullins.
The second transaction was the sale of Smith & Co. and Pavers Supply to Vulcan Construction Materials, LLC. The companies are engaged in highway construction specializing in building roads and bridges in East Texas. The BoyarMiller team included Shareholder Lawrence Wilson, Senior Associate P. Cyrus Chin, and Associates Caleb Dunson and Alex Parker.
