Represented an international petrochemical services company in a dispute with a former contractor involving the contractor’s entitlement to post-termination commissions.

Represented a local developer in the development, acquisition and expansion of distribution and warehouse facilities in Houston.

Successfully defended a former officer and director against claims of fraud, breach of fiduciary duties and denuding corporate assets. Claims were brought by Bankruptcy Trustee on behalf of creditors of the corporation. After extensive discovery and certain claims being dismissed via summary judgment, the case settled within the limits of the applicable D&O policy.

Represented individual independent business owner in a week-long trial involving commercial contract and representation agreement asserting competing claims for breach of contract, breach of fiduciary duty, and declaratory judgment.

Represented a diesel fuel blending and distribution terminal and related truck transportation operation in the restructure of outstanding indebtedness and equity ownership interests.

Represented a financial services provider with formation of a hedge fund.

Represented a Houston-based entrepreneur in connection with the strategic restructure of personal investments in 60+ entities involving land development, retail, private equity, specialty finance, oil and gas, industrial and build-to-suit.

Represented a private equity backed company in the workforce third-party administrator and toxicology lab business in multiple acquisitions in furtherance of their growth by acquisition strategy. Represented client in over 20 asset and equity acquisitions.

Represented a national manufacturer-marketer of engineered pipe fittings in a wrongful termination dispute initiated by a former employee. The former employee has alleged wrongful termination on the basis of a perceived disability as well as the wrongful denial of medical leave under the FMLA.

Won a summary judgment on behalf of a regional shopping mall owner on its breach of contract claims against a delinquent tenant.  We were also able to obtain individual liability via summary judgment against the tenant’s former President who entered into contractual agreements with our client following the secret dissolution of the company.

Represented a Texas-based IT services and support company in connection with the divestiture of company assets to a global provider of IT business solutions.

Represented the buyer in the purchase of several tracts of land in Polk County, Texas. Responsible for the review of due diligence materials and surveys, drafting of corporate consents, closing statement and other closing documents, and handling the closing.

Represented a Houston-based provider of mudlogging services in a sale of its U.S. and Brazil-based assets and its equity interests in 4 foreign subsidiaries (domiciled in Singapore, Thailand, Hong Kong and Malaysia) to a UK-based private equity fund.

Represented a Houston-based development company in land acquisition, financing, construction and disposition of multifamily properties in Ohio, Virginia, Tennessee, Kentucky and Florida.

Defended two Montgomery-area physicians against claims by their former employer. The former employer, a Conroe-area hospital, alleged the physicians breached a noncompetition and nonsolicitation agreement when they left to open their own practice. Successfully defended the physicians against the former employer’s efforts to obtain an injunction. The case settled soon after the court denied the former employer’s request for an injunction.

Affirmed by the Fifth Circuit in a dispute involving opposing party’s attempt to compel arbitration.
