Represented the seller of an orthodontic practice in Houston, Texas. Handled revisions to the asset purchase agreement, clearing of all encumbrances and drafting of disclosure schedules.

Represented a Texas-based home builder in AAA arbitration against construction defect claims made by a home buyer. Obtained a no liability finding and an award of attorneys’ fees for client.

Represented an affiliate entity of client in connection with the sale of approximately 2.36 acres of raw land in Montgomery County, Texas, to be developed into a car wash.

Represented a landfill gas construction and drilling company in the sale of the business to Aperion Capital, a New York based private equity fund.

Represented an international investment group formed by Houston-based developer in the acquisition, redevelopment, financing and sale of the 200-acre office park in Northwest Houston, and conversion to mixed-use residential and commercial master-planned project.

Pursued claims on behalf of a product manufacturer against former employees related to the theft of company information, including pricing and vendor information, in violation of their employment agreements and Texas state law.

Represented the seller in the sale of a mixed use office building.

Represented Toubin Insurance Agency (San Antonio) in connection with its sale to Acrisure

Represented certain partners of a Texas-based insulated panel manufacturer in the sale of their partnership interests to a minority partner by providing due diligence, closing logistics, ancillary documents, some purchase agreement work.

Led buyer in an acquisition of one of its largest competitors in the cloud-based voice, internet and unified communication services space. Negotiated and simultaneously closed an amended credit agreement to provide financing for the transaction. Utilized and negotiated representations and warranty insurance policy to mitigate post transaction risk and provide added security for loan.

Represented client in $40 million commercial real estate transaction, including the structuring of the transaction from development stages and financing through completion

Represented several entities in connection with their conversions and migratory mergers from California to Texas, and from various other states to Texas

On behalf of a major Texas-based insurance agency, drafted a successful brief in support of a temporary injunction. The court granted the injunction and prohibited the former employee from using confidential information the employee had removed from the agency’s computer system to operate a competing business.
